Suicide Kings [en.wikipedia.org] - A little known Christopher Walken movie and a delicious black comedy. A group of spoiled rich kids decide to kidnap a mob boss to pay the ransom on their kidnaped girl friend. The movie plays this very strait and rather dark for the most part. Walken is great as a retired mob boss, likable but not silly and with dark under currents.
The Shadow [en.wikipedia.org] - An attempt to bring the classic Pulp fiction hero to the big screen that sadly failed to find an audiance and had a little trouble bringing the dark crime fighter to modern audianced while remaining kid friendly for all the planned tie in products. Still a very much under rated movie and unfairly looked down on by critics.

I second The Shadow; it's a wicked cool character. Alec Baldwin played it ably. Its one of the few superhero movies from the eights/early nineties that I can still enjoy since they started making the new ones good.

HILARIOUS movie.
Sure, there were some funny parts - was the movie overall hilarious? No. The Jerk is hilarious. Fast Food Nation? Not quite.
Mexican border crossers exploited for their illegal status to work at a meat packing plant and the movie showing us what the "kill floor" of that plant looks like was a bit on the sad side.

Cruel Intentions.
A modern take on the classic "Dangerous Liaisons", about seduction and betrayal.
I don't know if it's underrated generally, but I certainly underrated it. I thought it'd be crap just because it had Gellar, Witherspoon and the other young hip stars in it, thinking it'd be some banal star vehicle and nothing else. But it turned out to be pretty good. :)
